Terms of Service

1. The Service

Axtona provides an online marketplace where users may publish listings and discover equipment, land, buildings, animals, tools, and related services. We offer discovery, communication tools (such as messaging), and profile features. We do not take possession of goods, process rental payments between users, or act as a broker, insurer, or escrow agent unless we explicitly state otherwise in writing.

2. Eligibility and accounts

You must be at least the age of majority in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to update it as needed. We may suspend or terminate accounts that violate these Terms or that present security or legal risk.

3. Listings and user content

You retain ownership of content you post. By posting listings, descriptions, images, or other materials ("User Content"), you grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content solely for operating, promoting, and improving the Service. You represent that you have all rights necessary to grant this license and that your content does not infringe third-party rights.

Listings must be truthful, lawful, and appropriate for the categories offered. We may remove or moderate content that we believe violates these Terms, applicable law, or our policies, or that could harm users or the platform. We are not obligated to pre-screen all content.

4. Transactions between users

Deals, sales, rentals, and service agreements are entered into directly between buyers, renters, sellers, and providers. Axtona is not a party to those agreements. You are solely responsible for evaluating counterparties, negotiating terms, complying with tax and legal obligations, and ensuring safety and fitness of equipment or services. Any payment, delivery, insurance, or dispute resolution arrangements are between you and the other user unless we expressly provide a separate payment or protection product.

5. Prohibited conduct

You agree not to:

• Violate any law or regulation, or infringe intellectual property or privacy rights;
• Post fraudulent, misleading, or stolen listings, or manipulate prices or reviews;
• Harass, threaten, or harm other users, or send spam or malware;
• Attempt to scrape, overload, or disrupt the Service, or circumvent security or rate limits;
• Use the Service for illegal goods or services, or in violation of sanctions or export controls;
• Reverse engineer or misuse our APIs except as permitted in writing.

6. Intellectual property

The Service, including its design, branding, software, and documentation (excluding User Content), is owned by Axtona or its licensors and is protected by copyright, trademark, and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT ENDORSE OR VERIFY LISTINGS OR USERS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXTONA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION BETWEEN USERS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend, indemnify, and hold harmless Axtona and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your transactions with other users, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service for breach of these Terms, risk to the platform, or as required by law. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnity) will survive termination.

11. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service.

12. Governing law and disputes

These Terms are governed by the laws applicable in the jurisdiction we designate for Axtona's operating entity, without regard to conflict-of-law principles, except where mandatory consumer protections in your country require otherwise. Courts in that jurisdiction shall have exclusive jurisdiction, unless mandatory law provides otherwise. You and Axtona agree that any dispute resolution procedures required in your region will apply where mandated.
