1. The Service

Axtona is an online marketplace and vendor workspace that helps users publish listings and discover equipment, land, buildings, livestock, tools, and related services.

We provide discovery, listing management, shareable public booking links, booking-request workflows, calendars, vendor CRM tools, finance tracking, messaging, reviews, notifications, and related features.

Unless we expressly state otherwise in writing, Axtona is not a party to agreements between users, does not take possession of goods, does not process payments between users on the platform, and does not act as a broker, insurer, escrow agent, or transport provider.

2. Eligibility and accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) and able to form a binding contract.

You are responsible for keeping your login credentials secure and for all activity under your account.

You agree to provide accurate, current information and to update it when it changes.

We may suspend or terminate accounts that violate these Terms, present security or legal risk, or remain inactive where permitted by law.

You may not create an account on behalf of another person without authority, or use another person's account without permission.

3. Accepting these Terms

When you register, you must confirm that you have read and agree to these Terms and our Privacy Policy.

If we materially change these Terms, we will post the updated version and update the date above. Continued use after changes take effect constitutes acceptance, subject to mandatory consumer rights in your country.

4. Listings and user content

You retain ownership of content you submit ("User Content"), including listing text, photos, specifications, and messages.

By posting User Content, you grant Axtona a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, adapt for formatting, and distribute that content solely to operate, promote, and improve the Service (including public listing and booking pages and share links).

You represent that you have all rights necessary to post User Content and that it does not infringe third-party rights or violate law.

Listings must be accurate, lawful, and appropriate for the selected category. You must promptly update availability, pricing, and condition information.

We may remove, hide, or moderate content that we reasonably believe violates these Terms, our policies, or applicable law, or that could harm users or the platform. We are not obliged to pre-screen all content.

5. Booking requests and transactions between users

A booking request submitted through Axtona is an enquiry or request to the listing owner — not a confirmed reservation until the owner accepts it (or you otherwise agree off-platform).

Dates shown on calendars reflect availability information provided by owners and existing bookings in the system; they are indicative and not a guarantee until confirmed.

You may not submit a booking request for your own listing.

Deals, rentals, sales, and service agreements are made directly between users. You are solely responsible for evaluating counterparties, negotiating terms, verifying licences and insurance, ensuring safety, and complying with tax and regulatory obligations.

Payments, deposits, delivery, insurance, and dispute resolution are arranged between users off-platform unless we explicitly offer a separate payment or protection product in writing.

Axtona does not guarantee that any listing, user, or transaction will meet your requirements.

6. Communications and contact details

The Service may display owner contact details on listings (such as phone numbers) according to visibility rules shown on the page.

In-app chat and messaging must be used lawfully and respectfully. Do not use the Service to send spam, harassment, or malicious content.

You are responsible for communications you send and receive through or because of the Service.

7. Reviews and ratings

Reviews must be honest, based on genuine experience, and comply with law. You must not post fake, defamatory, or incentivised reviews.

We may remove reviews that violate these Terms or our policies.

8. Vendor tools

If you use vendor features (CRM, calendar, fleet status, finance tracking, analytics, quick-share links), you are responsible for the accuracy of data you enter and for how you use client information in compliance with privacy law.

Quick-share and public booking links may be accessed by anyone with the link; share them only with intended audiences.

9. Progressive web app (PWA) and notifications

You may install Axtona as a PWA. Push notifications are optional and require your device/browser permission. You can disable them in device or account settings where available.

10. Prohibited conduct

• Violating any applicable law, regulation, or third-party rights.
• Posting fraudulent, misleading, stolen, or dangerous listings; manipulating prices or reviews.
• Harassing, threatening, or harming other users.
• Scraping, crawling, or automated access that burdens or disrupts the Service, except via documented APIs we expressly permit.
• Circumventing security, rate limits, or access controls.
• Using the Service for illegal goods or services, or in breach of sanctions or export controls.
• Impersonating another person or misrepresenting your affiliation.
• Reverse engineering the Service except where mandatory law allows.

11. Intellectual property

The Service, including software, design, branding, and documentation (excluding User Content), is owned by Axtona or its licensors and protected by intellectual-property laws. No rights are granted except as expressly stated in these Terms.

12. Third-party services

The Service may integrate with or link to third-party services (such as Google sign-in, maps, or storage). Your use of those services is subject to their terms and privacy policies.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT ENDORSE OR VERIFY LISTINGS, USERS, EQUIPMENT, OR SERVICES.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXTONA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION OR INTERACTION BETWEEN USERS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED POUNDS STERLING (GBP £100), EXCEPT WHERE PROHIBITED BY LAW.

Nothing in these Terms limits liability that cannot be limited under applicable law (including death or personal injury caused by negligence, or fraud).

15. Indemnity

You will defend, indemnify, and hold harmless Axtona and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your dealings with other users, or your violation of these Terms or applicable law.

16. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk to the platform, or legal requirement.

Provisions that by nature should survive (including licences granted to operate the Service, disclaimers, limitation of liability, and indemnity) survive termination.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence require otherwise.

The courts of England and Wales have exclusive jurisdiction, subject to mandatory rights you may have to bring proceedings in your country of residence if you are a consumer in the EEA or UK.

18. Changes to these Terms

We may modify these Terms from time to time. We will post updates on this page and change the "Last updated" date. Material changes may be notified by email or in-Service notice where appropriate.
